Constitution and Bylaws
North Central West Virginia
Beekeepers Association
Article I - Name
The name of the organization shall be North Central West Virginia Beekeepers Association and hereinafter shall be referred to as “The Association.”
Article II – Purpose
The purpose of this Association shall be to:
· Improve and promote the practice of local beekeeping.
· Support legislation for the betterment of beekeeping.
· Be a medium of exchange for beekeeping information and practice.
· Encourage cooperation between members and organizations.
· Promote the economic welfare of beekeeping.
Article III – Membership
Section 1: Classes of Membership
Active: Active, voting membership shall consist of the members who current in Membership dues, paid members may be beekeepers, any others interested in beekeeping or the social activities conducted by the Association.
Honorary: Lifetime voting membership shall consist of anyone approved by the membership after recommendation by The Executive Board.
Article IV – Officers
Section 1:
“Officers of the Association shall be the president, vice president, secretary, and the treasurer.”
Section 2: Duties and Responsibilities
President: The President shall preside over all Association meetings and serve as heir to the Executive Committee. As the chief executive officer, the President shall direct the activities of the Association in such a manner as to achieve the stated purposes. He shall appoint committees as necessary and shall be a member of these committees.
Vice President: The Vice President shall become the presiding officer in the absence of the President and shall perform such functions as directed by the President.
Secretary: The Secretary shall attend and keep an accurate and complete written record of the activities of the Association. In addition the Secretary must also take minutes of all meetings and conduct correspondence of the Association under direction of the President, and shall give or cause to be given notice of all meetings.
Treasurer: The Treasurer shall receive all moneys and deposit same to the credit of the Association in such depository as may be designated by the Executive Board, shall write checks to pay bills, and shall submit at all meetings, reports of the activities and financial status of the Association
Section 3: Election of Officers
A term of office shall be one (1) year. The officers shall be elected by ballot to serve from annual meeting to annual meeting, or until their successors are elected, and their term of office shall begin at the close of the annual meeting at which they are elected.
Section 4:
A vacancy in office shall be filled by vote of the general membership except a vacancy in the office of the President, which shall be filled by the Vice President.
Section 5:
At least three (3) months prior to the Annual Meeting, the President shall appoint three (3) active members to serve as the Nominating Committee. The Nominating Committee will recommend a slate of officers to the membership at the Annual Meeting. Active members will vote on officers at the Annual Meeting at which time nominations will be accepted from the floor.
Article V – Executive Board
Section 1:
The Executive Board shall consist of the President, Vice President, Secretary, Treasurer, five (5) members at large and one (1) alternate.
Section 2:
Three (3) members at large are elected to serve two (2) year terms. The remaining two (2) members and the one (1) alternate are elected to serve and one (1) year term.
Section 3:
The Executive Board shall meet at the call of the President and shall have the power to transact all routine business of the Association.
Section 4:
The Nominating Committee will recommend a slate of nominees to fill expiring terms of the Executive Board of the membership at the Annual Meeting. Active members will vote to fill vacancies at the Annual Meeting at which time nominations will be accepted from the floor.
Section 5:
Interim vacancies on the Executive Board shall be filled by vote of the general membership.
Article VI – Dues
Section 1:
Subject to the approval of the membership, the Executive Board will be responsible for establishing the annual dues. Annual membership dues are payable upon joining the Association and must be renewed at the beginning of each calendar year.
Section 2:
The Treasurer of the Association in a timely manner shall forward a portion of the annual dues collected to the West Virginia Beekeepers Association in the amount of their current membership fee per member.
Section 3:
Upon compliance with Article VI Section 2, the Association will become an associate organization of the West Virginia Beekeepers Association with the entitlement of one member on the State Executive Board along with individual voting membership.
Article VII – Meetings
Section 1: Regular Meetings
The regular meetings of the Association shall be held on the third Monday of each month scheduled by the Executive Board. Meetings shall be held at the Harrison County 4-H Center at 7:00 P.M. unless changed by the Executive Board.
Section 2: Annual Meetings
The last meeting of the calendar year shall be known as the Annual Meeting. At this time, the membership will elect officers and transact such other business as may properly come before the Association.
Section 3: Quorum
Quorum of the regular and annual meetings shall be defined as the presence of ten (10) active members, one of which must be President, Vice President, Secretary, or Treasurer. Quorum of Executive Board Meetings shall be the majority.
Section 4: Parliamentary Authority
The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall govern the Association in all cases to which they are applicable and in which they are not inconsistent with these bylaws.
Article VIII – Audit
Section 1:
There shall be an annual audit of all financial records of the Association. The President shall appoint an auditing committee of three (3) members whose duties shall be to audit the Treasurer’s accounts and present a report at the annual meeting.
Article IX – Amendment of Bylaws
Section 1:
These bylaws may be amended at any regular meeting by a two-thirds vote, provided the amendment has been submitted in writing at the previous meeting.
Article X – Dissolution of Association
Section 1:
In the event of dissolution of the Association, any outstanding debts will be paid, with any remaining funds contributed to the West Virginia Beekeepers Association.
